ONLINE STATEMENT AVAILABILITY POLICY AND CONSENT
Eagle Market Makers, Inc. is updating its method of providing reports of execution of orders, daily and monthly statements of accounts and other written communications as described in this Online Statement Availability Policy and Consent. This updated policy applies to each account that you maintain with us and constitutes an amendment to paragraphs 4 and 5 of the Customer Agreement that you have signed with us. We need your consent to implement these changes to your account. Please review the information below before providing your consent.
1. Scope of Communications to Be Provided in Electronic Form. We will provide you with written communications in electronic format, and will discontinue sending paper communications to you. Electronic communications include, but are not limited to:
- All legal and regulatory disclosures and communications associated with your account
- Reports of execution of orders, as well as daily and monthly statements for your account
- Notices or disclosures about a change in the terms of your account
- Privacy policies and notices.
2. Methods of Providing Communications to You in Electronic Form. All communications that we provide to you in electronic form will be provided or made available either (1) via e-mail, (2) by access to a password-protected web site that we will designate in an e-mail notice that we send to you at the time the information is available, or (3) to the extent permitted by law, by access to a web site that we will designate in advance for such purpose.
3. How to Update Your Records. It is your responsibility to provide us with true, accurate and complete e-mail address, contact and other information related to your account(s), and to promptly update any changes in this information. You can update such information via telephone, fax or email to us at the addresses provided below.
4. Hardware and Software Requirements. In order to access, view, and retain electronic communications that we make available to you, you must have:
- An Internet browser such as Microsoft® Internet Explorer 5+, NetScape® 6+ and AOL 6+ that supports 128 bit encryption
- Sufficient electronic storage capacity on your computer's hard drive or other data storage unit
- Adobe® Acrobat® Reader® ___ or higher
- An e-mail account with an Internet service provider and appropriate e-mail software
- A personal computer, operating system and telecommunications connections to the Internet capable of receiving, accessing, displaying, and either printing or storing, communications received in electronic form from us via a plain text-formatted e-mail or by access to our web site using one of the browsers specified above.
5. Your Security Responsibilities. To protect the security of your account information, you must not disclose or share your password with any third party. You will be responsible for maintaining the confidentiality of your password and restricting unauthorized access by others to your personal computer or other Internet access facility. Because of the unpredictability of the Internet, we cannot guaranty timely, continuous or uninterrupted access to your account statements through the Internet.
6. Alternative Availability Site. We will maintain at least two (2) walk-up computer stations at our offices, available for your use at no charge during regular business hours, to access electronic communications regarding your account.
7. Right to Obtain Paper Copies. We will not send you a paper copy of any communication from us, unless you request it or we otherwise deem it appropriate to do so. You can obtain a paper copy of an electronic communication by printing it yourself or by requesting that we mail you a paper copy, provided that such request is made within a reasonable time after we first provide the electronic communication to you. To request a paper copy, contact us via telephone, fax or email at the addresses provided below. We may charge you a reasonable service charge for the delivery of paper copies of any communication provided or made available to you electronically. We reserve the right, but assume no obligation, to provide a paper copy of any communication that we are otherwise authorized to provide electronically.
8. Communications in Writing. All communications in either electronic or paper format from us to you will be considered to be “in writing.” You should print or download for your records a copy of all communications concerning your account.
9. Federal Law. You acknowledge and agree that your consent to receive electronic communications is being provided in connection with a transaction affecting interstate commerce that is subject to the federal Electronic Signatures in Global and National Commerce Act, and that you and we both intend that the Act apply to the fullest extent possible to validate our ability to conduct business with you by electronic means.
10. Termination/Changes; Right to Withdraw Consent. We reserve the right, in our sole discretion, to discontinue the provision of electronic communications, or to terminate or change the terms and conditions on which we provide electronic communications. We will provide you with notice of any such termination or change as required by law.
You may at any time withdraw your consent to have communications provided or made available electronically by contacting us via telephone, fax or email at the addresses provided below. We will charge no fee nor impose any prior condition for honoring your request, though operational considerations may dictate our inability to continue to maintain your account with us under those circumstances.
11. Amendment of Customer Agreement. This policy and your consent below constitute an amendment to paragraphs 4 and 5 of the Customer Agreement that you have signed with us. For this purpose, the words “transmitted” or “sent” or words of similar import, as applied to written communications from us to you, are to be read as meaning “made available for access by electronic means,” and any reference to a Customer’s address is to be read as a reference to the Internet web site at which such communication is available for access. “Received,” “receipt” and words of similar import shall be read to mean the time at which the related communication was first made available for electronic access by you.
Please acknowledge your consent below, so that we may implement this new customer communications policy with respect to your account(s).
